Frequently asked questions
Does the resigning director need to file anything?
The company must file DIR-12 within 30 days. The director may also file DIR-11 to place the resignation on record with MCA; we recommend it.
Can a company be left with one director?
No. A Private Limited Company must keep at least two directors, so a resignation that brings it below two needs a new appointment first.
Is shareholder approval needed?
An additional director can be appointed by the board and holds office until the next AGM, where shareholders regularise the appointment.
