Frequently asked questions
Can an OPC add shareholders later?
Yes. An OPC can convert into a Private Limited Company at any time by adding members and directors. Since 2021 there is no turnover or capital limit forcing or blocking conversion.
Who can be the nominee?
Any Indian citizen who is a natural person, including an NRI. The nominee takes over as member only if the original member dies or becomes incapable of contracting.
Can an OPC raise investment?
Not equity from outside investors while it remains an OPC. Founders planning to raise funds usually start as, or convert to, a Private Limited Company.
